ADORE PHARMACY TERMS OF HIRE

1- The period of hire of the equipment will commence on the Commencement date set out in the agreement (unless this Agreement is otherwise terminated) end on the Return Date set out on the Hire period.
2- The deposit may be held by Adore Pharmacy for the term of this Agreement. In the event of a breach of this Agreement by the Hirer, Adore Pharmacy without limiting it’s other rights, may apply the whole or part of that deposit towards remedying the breach of compensating Adore Pharmacy for any resulting loss or damage.
3- The hire fees are payable in advance.
4- The Hirer warrants and acknowledges that he has inspected the Equipment prior to or at the time of the commencement of the hire and is satisfied that the equipment is in good working order and condition and suitable in all respects for the purpose of the Hirer.
5- At all times during the hire period, the Hirer shall take proper care of the Equipment and keep the Equipment in good repair and condition (reasonable wear and tear expected). At the end of the hire period, the Hirer shall return the Equipment to Adore Pharmacy is such repair and condition.
6- The Hirer shall not allow any person not authorised by Adore Pharmacy to repair or otherwise carry out any work on the Equipment.
7- The Hirer shall not sell, transfer, assign, mortgage, pledge, underlet, lend or otherwise deal with the Equipment. The Hirer shall not remove the Equipment from the State without prior written consent of Adore Pharmacy.
8- The hire period may be extended by agreement. Any such extension will be thye same terms as set out herein and this Agreement will take effect as if the Return Date i.e. the end of the extended period.
9- On the happening of any on or more of the following events, the period of hire will terminate and, without limiting all its other rights, Adore Pharmacy will be entitled to return the Equipment –
a) the Hirer makes default in the payment on the due date of any fees or other amounts payable, or otherwise defaults in observance
or performance of any terms of this Agreement;
b) the Hirer does or causes to be done any act, manner or thing which is likely to endanger thie safety, condition or safekeeping of
the Equipment.
c) an order is made for the sequestration of the assets of the Hire, or the Hirer enters into any composition or arrangement with
creditors; or
d) any other event occurs with constitutes or evidences on the Hirer’s part a repudiation or refusal to be bound by this Agreement.
10- a) The Hirer has the benefit of conditions and warrantees and other rights implied by law which cannot be excluded by agreement. Nothing in this Agreement shall be taken to limit in any way the benefit for those conditions, warranties and rights. However, where under such a law Adore Pharmacy is permitted to limit its liability in respect of a breach of such implied conditions, waranties or rights. Adore Pharmacy hereby limits its liability to the minimum possible under that law.
b) Subject to a), Adore Pharmacy disclaims and negatives all other express or implied conditions and warranties and all prior representations and statements in respect of or relating to the Equipment.
c) The Hirer shall indemnify and keep Adore Pharmacy indemnified against any loss or damage which may arise in respect of the Equipment or from the possession use or operation of the Equipment by the Hirer or any other person and (without limiting the generality of the foregoing) against any loss or damage whatsoever for or in respect of injury to person or property arising out of the possesion, use or operation of the Equipment by the Hirer or any other person in any manner whatsoever during the period until the Equipment is returned. The indemnity does not apply in respect of loss or damage for breach of non-excludable condition warranty or right referred to in (a).
11- The Hirer warrants that he/she is authorised to make this Agreement on behalf of all persons who posses use or operate the Equipment during the priod until the Equipment is returned.
12- No refunds of hire rental is given upon earlier return of equipment.
